Only read if you mean the Source Engine .mdl:
Hidden/Spoiler:
Decompile it first(with mdldecompiler), then import it into a software, which supports .smd import(MilkShape 3D, XSI Mod Tool 6, Maya, Max). Then set the models up in XSI 5.11 or lower/MilkShape, Max, XSI Modtool and export them.
You have to convert the texture files(.vtf usually), too(needs PS VTF Plugin or VTFEdit).
