Which is more visually appealing?

I like both but honestly I would have to say the top one is better cuz the only problem I have with the bottom one is that the special ops trooper kinda ruins the pic.

On a side note, ahahaha love to see the Sangheli is still in use, but Diet Dr. Pepper I do hate that model now. Those UVs are horrible and the topology is atrocious, I could and should do better.

They are not so horrible, the difficoult part was reskin the body, the armor is ok.

Depends on how nuts you go. Remember, if you (or someone in the community) can build the textures from scratch fairly easily then it's an issue. But if not then it's okay per the Copyright Rules which are modeled after USA Fair Use Copyright Law (yellow is a clicky).
